Terms of Service

These Terms of Service govern your access to and use of the Thayne platform, operated by Bazema Limited (Company No. 17054726), trading as Thayne, a company registered in England and Wales. By creating a Thayne account, you agree to be bound by these terms. Please read them carefully before signing up.

If you do not agree to these terms, you must not use Thayne. If you have any questions, contact us at elliot.bazley@thayne.app.

Definitions

In these Terms of Service, the following terms have the meanings set out below:

  • "Thayne", "we", "us", "our" — Bazema Limited, trading as Thayne, Company No. 17054726, registered in England and Wales
  • "Platform" — the Thayne software, website, and services accessible at thayne.app
  • "You", "subscriber" — the individual or business who has created a Thayne account
  • "Account" — your registered account on the Thayne platform
  • "Link" — an AI-powered conversation link created by you through the platform
  • "Enquirer" — any third party who uses a Link you have created
  • "Conversation" — an AI-powered exchange between an Enquirer and a Link you have created
  • "Profile" — the structured summary generated from a Conversation and delivered to your dashboard
  • "Content" — any information, data, text, or configuration you submit to the platform
  • "Subscription" — a paid Pro plan giving access to additional features as set out in Section 4

Eligibility

To use Thayne, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the service under the laws of England and Wales or any other applicable jurisdiction
  • If registering on behalf of a business, have the authority to bind that business to these terms

By creating an account, you confirm that you meet these requirements. We reserve the right to refuse access to the platform to anyone who does not meet these criteria.

Accounts and registration

Creating your account

When you register for Thayne, you must provide accurate, current, and complete information. You are responsible for keeping your account information up to date. We may suspend or terminate your account if we have reason to believe information you have provided is inaccurate or misleading.

Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at elliot.bazley@thayne.app if you suspect any unauthorised access to your account. We are not liable for any loss or damage arising from your failure to keep your credentials secure.

One account per person

Each account is for use by a single individual. You must not share your account with others or create multiple accounts to circumvent any feature limitations or restrictions on the platform.

Plans and features

Thayne offers the following plans:

We reserve the right to modify the features included in each plan at any time. Where changes materially reduce the features available to you, we will provide at least 30 days' notice by email before those changes take effect.

Feature availability. All features are provided as described at the time of your subscription. We do not guarantee that any specific feature will remain available indefinitely, though we will always give reasonable notice of significant changes.

Payments, billing, and cancellation

Billing

Pro subscriptions are billed either monthly or annually in advance, depending on the plan you choose at checkout. Payment is processed by Stripe, Inc. on the date you first subscribe and on the same date each subsequent billing period. By subscribing to Pro, you authorise us to charge your chosen payment method on a recurring basis (monthly or annually) until you cancel.

Pricing

All prices are displayed in pounds sterling (GBP) and are inclusive of any applicable VAT. We reserve the right to change our pricing at any time. Where we increase the price of your existing subscription, we will give you at least 30 days' notice by email. Your continued use of the service after the price change takes effect constitutes your acceptance of the new price.

Failed payments

If a payment fails, we will notify you by email and attempt to collect payment again. If payment cannot be collected after reasonable attempts, we reserve the right to downgrade your account to the Free plan or suspend access to Pro features until payment is received.

Cancellation

You may cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you will retain access to Pro features until that date. We do not provide refunds for unused portions of a billing period, including for annual subscriptions, except where required by law or under our 30-day money back guarantee for new subscribers.

Refunds

We offer a 30-day money back guarantee for new Pro subscribers. If you are not satisfied with Thayne within the first 30 days of your subscription, you may request a refund directly from your account settings page. Approved refunds are processed to your original payment method and typically appear within 5–10 business days.

Outside of this 30-day window, subscription fees are non-refundable except where required by law. If you believe you have been charged in error, please contact us at elliot.bazley@thayne.app within 14 days of the charge and we will investigate.

Consumer rights. If you are a consumer under the Consumer Rights Act 2015, you have a 14-day statutory right to cancel a new subscription from the date of purchase. We go beyond this statutory minimum by offering a 30-day money back guarantee — if Thayne hasn't delivered value in your first 30 days, you can request a full refund from your account settings, no awkward questions.

Acceptable use

You may only use Thayne for lawful purposes and in accordance with these terms. You must not use the platform to:

  • Engage in any activity that is unlawful, harmful, threatening, abusive, harassing, defamatory, or discriminatory
  • Collect personal data from Enquirers without a lawful basis to do so under UK GDPR or other applicable data protection law
  • Impersonate any person or entity or misrepresent your identity or affiliation with any person or organisation
  • Use Links to deceive Enquirers about the nature of the interaction — specifically, you must not represent AI conversations as being conducted by a human
  • Transmit or facilitate the transmission of spam, unsolicited messages, or any form of automated outreach that does not comply with applicable law
  • Attempt to gain unauthorised access to any part of the platform, its infrastructure, or any third-party systems connected to it
  • Use the platform in a way that could disable, overburden, or impair its operation
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the platform
  • Resell, sublicense, or otherwise make the platform available to third parties without our prior written consent
  • Use the platform to process data relating to individuals under the age of 18 without appropriate safeguards in place

We reserve the right to investigate any suspected breach of these acceptable use requirements and to suspend or terminate your account if we determine a breach has occurred.

AI processing and limitations

How AI is used

The Thayne platform uses AI language models — currently Anthropic's Claude — to power conversations through your Links, generate Profiles, assist with link configuration, and produce other outputs within the platform. By using Thayne, you acknowledge and accept that AI processing is fundamental to the service and cannot be disabled.

AI limitations

AI-generated outputs, including conversation responses and Profiles, may contain errors, inaccuracies, or omissions. You acknowledge that:

  • Profiles and fit assessments are generated automatically and are advisory in nature — they are not a substitute for your own judgement
  • We do not guarantee the accuracy, completeness, or reliability of any AI-generated output
  • You are responsible for reviewing all AI-generated content before acting on it
  • AI conversation outputs may occasionally be inappropriate, incorrect, or inconsistent with your configured preferences despite reasonable configuration efforts

AI and third-party providers

Conversation content and account configuration data is transmitted to Anthropic, Inc. for processing. By using Thayne, you accept Anthropic's usage policies. We are not responsible for the conduct of Anthropic or any changes Anthropic makes to its models or services that affect Thayne's functionality.

No professional advice. Nothing generated by Thayne's AI constitutes legal, financial, medical, or other professional advice. You should not rely on AI-generated outputs for decisions that require professional expertise.

Your obligations regarding enquirers

When you deploy a Thayne Link and make it available to third parties, you take on specific responsibilities in relation to the people who use it. You must:

  • Provide appropriate disclosure — inform Enquirers, before they begin a conversation, that they are interacting with an AI and that a profile will be generated from their conversation
  • Have a lawful basis for data collection — ensure you have a lawful basis under UK GDPR or applicable law to collect the personal data that Enquirers share through your Link
  • Provide a privacy notice — make available to Enquirers a privacy notice explaining how their data will be used, who it will be shared with, and how they can exercise their rights
  • Use data responsibly — only use Profile data and conversation transcripts for the purposes for which they were collected, and in compliance with applicable data protection law
  • Honour data subject requests — cooperate with any requests from Enquirers to access, correct, or delete their personal data

Your liability. You are solely responsible for ensuring your use of Thayne Links complies with all applicable laws, including data protection, consumer protection, and advertising standards law. We accept no liability for your failure to meet these obligations.

Your content and data

Ownership

You retain ownership of all Content you submit to the platform, including your onboarding information, link configurations, and any data generated through your Links. We do not claim any ownership over your Content.

Licence to us

By submitting Content to Thayne, you grant us a limited, non-exclusive, royalty-free licence to use, store, process, and transmit that Content solely for the purpose of delivering the service to you. We do not use your Content to train AI models or for any purpose beyond operating the platform.

Your responsibility for Content

You are solely responsible for all Content you submit to the platform, including the system prompts, link configurations, and onboarding information you provide. You warrant that your Content does not infringe any third-party rights, does not contain unlawful material, and is accurate to the best of your knowledge.

Data on account termination

On termination of your account, your Content and all associated data will be deleted from our systems within 30 days, except where we are required by law to retain it. See our Privacy Policy for full details of our data retention practices.

Intellectual property

All intellectual property rights in the Thayne platform — including its software, design, branding, trade marks, and documentation — are owned by or licensed to Bazema Limited. Nothing in these terms grants you any rights in the platform beyond the limited right to use it in accordance with these terms.

You must not copy, reproduce, modify, distribute, or create derivative works based on any part of the Thayne platform without our prior written consent.

The Thayne name, logo, and branding are trade marks of Bazema Limited. You must not use our trade marks without our prior written consent, including in any domain name, social media handle, or business name.

Confidentiality

In the course of using Thayne, you may have access to non-public information about our platform, including unreleased features, pricing structures, technical architecture, and business plans. You agree to keep such information confidential and not to disclose it to any third party without our prior written consent.

This obligation does not apply to information that is or becomes publicly available through no fault of yours, or that you are required to disclose by law.

Service availability

We aim to make Thayne available at all times, but we do not guarantee uninterrupted or error-free access to the platform. The platform may be unavailable from time to time due to maintenance, upgrades, or circumstances beyond our control.

We will use reasonable efforts to notify you in advance of planned maintenance that is likely to cause significant disruption. We are not liable for any loss or damage caused by interruptions to the service.

Third-party dependencies. Thayne relies on third-party services including Anthropic, Stripe, Airtable, and others. Disruption to these services may affect Thayne's functionality. We are not responsible for outages or changes made by these providers, though we will work to restore service as quickly as possible.

Limitation of liability

What we are not liable for

To the fullest extent permitted by law, Bazema Limited will not be liable to you for:

  • Any indirect, incidental, special, consequential, or punitive loss or damage
  • Loss of profits, revenue, business, or anticipated savings
  • Loss of data or corruption of data
  • Loss of goodwill or reputation
  • Any loss arising from the inaccuracy or unreliability of AI-generated outputs
  • Any loss arising from your failure to comply with your obligations under these terms or applicable law
  • Any loss arising from the actions or omissions of third-party service providers

Cap on liability

Our total aggregate liability to you in connection with these terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of (a) the total fees you have paid to us in the 12 months immediately preceding the event giving rise to the claim, or (b) £100.

Exceptions

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

Consumer rights. If you are a consumer, these limitations do not affect your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.

Indemnity

You agree to indemnify, defend, and hold harmless Bazema Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the platform in breach of these terms
  • Your failure to comply with applicable data protection law in relation to Enquirer data
  • Any Content you submit to the platform that infringes third-party rights or is unlawful
  • Any claim brought by an Enquirer arising from your use of a Thayne Link

Termination and suspension

Termination by you

You may close your account at any time by contacting us at elliot.bazley@thayne.app. If you have a Pro subscription, cancellation of your subscription and closure of your account are separate actions — cancelling your subscription downgrades you to Free, while closing your account deletes all your data.

Termination or suspension by us

We reserve the right to suspend or terminate your account at any time if:

  • You breach these terms or our acceptable use policy
  • You fail to pay any fees due
  • We reasonably believe your use of the platform is causing harm to us, other users, or third parties
  • We are required to do so by law

Where possible, we will give you notice before suspending or terminating your account and an opportunity to remedy any breach. In cases of serious or repeated breach, we may act without notice.

Effect of termination

On termination of your account for any reason, your right to use the platform ceases immediately. All your Links will be deactivated. Your data will be deleted from our systems within 30 days, subject to our legal obligations to retain certain records. Sections of these terms that by their nature should survive termination will do so, including Sections 9, 10, 13, 14, and 17.

Changes to these terms

We may update these Terms of Service from time to time. When we make material changes, we will notify you by email at least 14 days before those changes take effect. The updated terms will be posted at thayne.app/terms.

Your continued use of Thayne after the effective date of any changes constitutes your acceptance of the updated terms. If you do not agree to the updated terms, you must stop using the platform and may close your account.

Governing law and disputes

These terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales.

In the event of a dispute, we encourage you to contact us first at elliot.bazley@thayne.app so that we can attempt to resolve the matter informally. If we are unable to resolve a dispute informally, both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

Consumer alternative dispute resolution. If you are a consumer and we are unable to resolve your complaint, you may be able to use an alternative dispute resolution (ADR) scheme. For more information, visit the Citizens Advice website at citizensadvice.org.uk.

General

  • Entire agreement — these terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Bazema Limited in relation to your use of Thayne and supersede all prior agreements and understandings
  • Severability — if any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect
  • Waiver — our failure to enforce any right or provision of these terms will not be considered a waiver of that right or provision
  • Assignment — you may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets
  • No partnership — nothing in these terms creates a partnership, joint venture, agency, or employment relationship between you and Bazema Limited
  • Third party rights — these terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999
  • Force majeure — we will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, internet outages, third-party service failures, or government action

Referral programme

Thayne operates a referral programme that allows existing subscribers to earn account credit by referring new paying subscribers to the platform. The following conditions apply:

  • Eligibility — to qualify for a referral credit, the referred person must sign up using your unique referral link and complete at least one real conversation on the platform
  • Credit value — referral credits are applied as either a balance reduction against your next invoice (for Pro subscribers) or a complimentary month of Pro access (for free plan subscribers), at our discretion. Credits have no cash value and cannot be withdrawn, transferred, or exchanged
  • Credit application — referral records are created automatically when a new subscriber signs up using your referral link. Credits are reviewed and applied by Thayne following our verification of each qualifying referral. Referrals flagged as potentially abusive (such as those from the same email address or non-generic email domain) are subject to additional manual review. We aim to apply approved credits within 7 days
  • Abuse — we reserve the right to withhold or reverse referral credits where we reasonably suspect abuse, including self-referral, use of fake accounts, or any attempt to game the referral system. Accounts found to be abusing the referral programme may be suspended or terminated
  • Programme changes — we reserve the right to modify, suspend, or discontinue the referral programme at any time. Credits already applied to your account will not be affected by programme changes, but pending or unearned credits may be cancelled

One referral per new subscriber. Each new subscriber can only be referred once. Referral credits are issued to the referrer only — not to the new subscriber.

Fair use and platform integrity

Thayne applies reasonable usage limits to AI-powered features within the platform — including conversation processing, link editor assistance, intelligence briefings, and follow-up generation. These limits are designed to maintain consistent performance and fairness for all subscribers and are set well above what a typical subscriber would use in normal operation.

The vast majority of subscribers will never encounter these limits. They exist to protect the platform against abuse and to ensure that no single account can degrade the experience for others.

  • Usage limits apply per account and reset on a rolling daily or hourly basis depending on the feature
  • Where a limit is reached, affected features will be temporarily paused and will resume automatically once the limit resets — your data and account settings are never affected
  • We do not publish specific limit thresholds, as these may be adjusted over time to reflect platform demand and usage patterns
  • If you consistently reach limits in the course of normal, legitimate use, please contact us and we will work with you to find a solution

What this means in practice. If you are using Thayne for its intended purpose — running conversations through your links, editing your link configuration, and reviewing your conversation dashboard — you are extremely unlikely to ever encounter a usage limit. These provisions exist to protect the platform, not to restrict ordinary use.

Conversation volume on Pro. The Pro plan includes unlimited conversations as standard. This is a genuine commitment — the vast majority of Pro subscribers will never encounter any restriction on conversation volume. However, where a single subscriber's conversation volume significantly and consistently exceeds typical usage patterns to a degree that materially impacts our operating costs, we reserve the right to contact that subscriber directly to discuss their usage. We will always seek to find a solution that works for both parties before taking any further action. We will never impose a conversation limit on a Pro subscriber without first giving at least 30 days' written notice and the option to cancel with a pro-rata refund for any unused period.
